This Agreement becomes binding when Customer signs or electronically accepts an Order Form, creates a paid account through an authorized flow, or otherwise accepts terms through an approved clickwrap process. Public availability alone does not create a subscription.

Key terms include Authorized User, Customer Content, Documentation, Order Form, Output, Platform, Subscription Plan, Usage Limit, Workspace, AI Feature, Integration, and Third-Party Service. The applicable Order Form supplies customer-specific commercial terms.

Each Order Form should identify the Customer, plan, subscription term, fees, billing frequency, workspaces, seats, usage limits, enabled modules, integrations, API access, support level, and any negotiated service-specific terms.

Subject to payment and compliance, Kool&Tech grants Customer a limited, nonexclusive, nontransferable right for Authorized Users to access KoolArchitect during the subscription term for Customer internal business purposes.

Customer administrators may create and manage workspaces within plan limits. Customer is responsible for workspace membership, role assignment, information architecture, approval practices, and content shared among Authorized Users.

Accounts are for named Authorized Users unless the Order Form states otherwise. Customer must not share credentials, exceed purchased seats, permit unauthorized access, or resell access. Customer is responsible for user activity and timely deprovisioning.

Customer-designated administrators may manage users, roles, integrations, settings, exports, and workspace controls. Customer is responsible for administrator authority, configuration decisions, and requests submitted by authorized administrators.

Plans may differ by workspaces, users, storage, usage, modules, exports, integrations, AI features, API access, support, and service levels. Roadmaps, previews, demonstrations, and marketing descriptions do not guarantee future availability.

Trials, pilots, beta features, previews, sandboxes, and evaluation access may be time-limited, capacity-limited, unsupported, changed, or discontinued. They are provided for evaluation and may not include production commitments, warranties, SLAs, or data-retention guarantees.

Fees may be recurring, seat-based, workspace-based, usage-based, tiered, or otherwise stated in the Order Form. Customer authorizes the selected payment method and is responsible for taxes, overages, third-party fees, and approved add-ons.

Renewal, auto-renewal, nonrenewal notice, billing cycle, and price-adjustment rules are stated in the Order Form. Continued use after renewal may be conditioned on payment and acceptance of the applicable renewal terms.

Plans may impose limits on users, workspaces, documents, storage, exports, API calls, integrations, AI requests, processing volume, concurrency, retention, or other resources. Kool&Tech may meter, throttle, queue, limit, or require an upgrade when limits are exceeded.

Customer and Authorized Users must comply with the Acceptable Use Policy. Prohibited activity may include unlawful use, malware, abusive automation, unauthorized scraping, credential sharing, security circumvention, harmful content, infringement, interference, or attempts to exceed limits.

As between the parties, Customer retains ownership of Customer Content. Customer grants Kool&Tech and authorized providers the limited rights necessary to host, process, transmit, secure, support, and provide the subscription services.

Customer represents that it has the rights and lawful authority necessary to submit content, connect systems, instruct processing, invite users, and permit analysis. Customer should not submit unnecessary sensitive or restricted information.

Subject to applicable law, third-party rights, and the Agreement, Customer may use Outputs generated for Customer. Outputs may not be unique and other users may receive similar results. Kool&Tech does not guarantee that every Output is protectable intellectual property.

AI Features may help analyze processes, structure requirements, generate drafts, document workflows, identify patterns, recommend controls, or support automation. AI Features assist users and do not replace process owners, qualified professionals, approvers, auditors, or accountable decision-makers.

AI output may be inaccurate, incomplete, outdated, biased, non-unique, or unsuitable. Customer must review and validate Outputs before reliance, publication, implementation, or action, particularly for financial, legal, compliance, employment, safety, health, and other consequential uses.

Kool&Tech will not use Customer Personal Data to train a publicly available foundation model unless Customer expressly authorizes the use and applicable law permits it. Provider-specific processing and improvement settings may depend on the selected feature and documented configuration.

KoolArchitect may identify AI-assisted interactions, recommendations, agents, or generated content where required or contextually appropriate. Customer remains responsible for downstream disclosures required for Customer use, publication, or deployment.

AI agents and automated workflows may act only through enabled tools, permissions, data, and approved boundaries. Customer configures authority and remains responsible for approvals, recipients, connected systems, financial or operational thresholds, and consequences of authorized actions.

Integrations may allow data exchange with Odoo, Microsoft, APIs, storage, communications, payment, or other systems. Customer authorizes configured connections and is responsible for connected accounts, permissions, lawful data exchange, and vendor terms.

API access, credentials, scopes, rate limits, quotas, environments, and permitted uses depend on the plan and Documentation. Customer must protect keys, avoid credential embedding in insecure locations, and comply with API Terms when published.

Third-Party Services operate under their own terms, security, privacy, support, availability, and pricing. Kool&Tech does not control their roadmap, outages, data practices, outputs, or continued interoperability.

Kool&Tech maintains safeguards described in the Security & Trust Center. Customer remains responsible for Authorized Users, endpoints, identities, connected systems, role configuration, credential protection, and internal controls.

The Privacy Policy governs Kool&Tech-controlled processing. The Data Processing Addendum governs Personal Data processed on Customer behalf where applicable. The Subprocessor List identifies relevant providers according to actual service configuration.

Retention, deletion, backups, logs, exports, and post-termination treatment are governed by the applicable Data Retention & Deletion Policy, Order Form, and DPA. Customer should export needed content before the applicable access window ends.

Available export formats, scope, frequency, permissions, and technical limitations depend on the plan and product functionality. Custom extraction, transformation, migration, or transition assistance may require Professional Services.

Any availability metric, maintenance commitment, service credit, or response target applies only if selected in an SLA Schedule. Planned maintenance, emergency maintenance, vendor dependencies, and excluded events are handled under that schedule.

Subscription support is governed by the Support Policy and the selected plan. Support may cover access, billing, platform incidents, documented features, and supported integrations, but does not include unlimited consulting, implementation, process redesign, or custom development.

Kool&Tech may improve, modify, replace, or discontinue features to address security, law, vendor changes, product development, performance, or customer needs. Material adverse changes to a paid core feature will be handled according to the governing Order Form and applicable law.

Kool&Tech retains ownership of KoolArchitect, software, models, workflows, interfaces, designs, Documentation, templates, methods, prompts, connectors, libraries, know-how, and improvements. Customer receives only the subscription access rights expressly granted.

Kool&Tech may use non-confidential feedback without restriction. Kool&Tech may use aggregated or de-identified operational analytics to operate, secure, understand, and improve services, subject to applicable law and contractual commitments.

Kool&Tech may suspend access for nonpayment, security risk, unlawful or prohibited use, excessive usage, compromised credentials, third-party restriction, material breach, or legal requirement. Where practical, suspension may be limited to affected users, workspaces, features, or integrations.

The subscription may end through expiration, nonrenewal, cancellation rights in the Order Form, uncured material breach, or another permitted basis. Customer remains responsible for accrued fees and noncancelable commitments.

Upon termination, access ends according to the Order Form and retention terms. Customer should remove integrations, rotate credentials, preserve required exports, and complete transition activities before access expires.

Kool&Tech warrants that paid subscription services will materially operate according to applicable Documentation under normal authorized use. The exclusive remedy for a substantiated material breach is correction, restoration, replacement, service credit if agreed, or termination and applicable refund as stated in the governing contract.

KoolArchitect, AI Features, Outputs, previews, and Third-Party Services are subject to the disclaimers in the Master Services Agreement. Kool&Tech does not guarantee business results, regulatory certification, error-free output, unique output, uninterrupted operation, or suitability for every decision.

Excluded damages, liability caps, indemnification, force majeure, confidentiality, governing law, and dispute terms are governed by the Master Services Agreement or other controlling contract.

Customer is responsible for laws, notices, consents, recordkeeping, sector requirements, internal governance, and lawful deployment applicable to Customer content, users, integrations, Outputs, AI use, and automated actions.

For KoolArchitect subscriptions: signed amendment or Change Order; Order Form; SLA Schedule for service levels; DPA for covered processing; Master Services Agreement; this Subscription Agreement; Acceptable Use Policy; Support Policy; AI and security policies; general Terms & Conditions.

This Agreement may be accepted electronically, by signature, or through an Order Form that references it. The person accepting represents authority to bind Customer.

Kool&Tech may update this public template for future subscriptions. Changes to an active subscription apply only as permitted by the governing contract, accepted renewal, product terms, or applicable law.
